1. Agreement to Terms

By accessing or using Dinnduh™ ("the Service," "our Service," "the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Dinnduh™ ("we," "us," or "our"). We reserve the right to update these Terms at any time. Your continued use of the Service after any changes indicates your acceptance of the revised Terms.

2. Description of Service

Dinnduh™ is a restaurant discovery and group dining coordination platform. The Service allows users to:

• Create dining sessions and invite participants
• Vote on restaurant options
• Coordinate group dining decisions
• Save dining preferences and addresses
• Access AI-powered restaurant recommendations (Genius tier only)
• Communicate with other session participants via in-app chat

3. User Accounts and Registration

3.1 Account Creation

To use certain features of the Service, you must register for an account. You may register using:

• Phone number with SMS verification
• Email address with password

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

3.3 Account Requirements

You must:

• Be at least 13 years of age to use the Service
• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Not create an account using false information or on behalf of someone else without permission
• Not create more than one personal account

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer three subscription tiers:

• Free: Limited features with session and invitee restrictions
• Premium ($5.99/month): Enhanced limits, current location, and no ads
• Genius ($12.99/month): Unlimited sessions, AI recommendations, and all premium features

4.2 Payment Terms

• Subscriptions are billed monthly on a recurring basis
• You will be charged at the beginning of each billing cycle
• All fees are in U.S. Dollars unless otherwise stated
• Payments are processed through Stripe, our third-party payment processor
• You must provide a valid payment method to purchase a paid subscription

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You authorize us to charge your payment method for each renewal period.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@dinnduh.com. Cancellation will take effect at the end of your current billing cycle. You will not receive a refund for any unused portion of your subscription period.

4.5 Price Changes

We reserve the right to change our subscription fees. We will provide at least 30 days' notice of any price changes. Your continued use of the Service after a price change takes effect constitutes your agreement to pay the modified amount.

5. Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit any harmful, offensive, or inappropriate content
• Harass, abuse, or harm other users
• Spam, solicit, or advertise without permission
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems (bots, scrapers) without permission
• Reverse engineer or attempt to extract source code
• Transmit viruses, malware, or malicious code

6. User Content

6.1 Your Content

You retain ownership of any content you submit to the Service, including:

• Profile information
• Restaurant preferences and votes
• Chat messages
• Saved addresses and contacts

6.2 License to Use Your Content

By submitting content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use, store, and display your content to provide the Service
• Analyze voting patterns to improve recommendations (anonymized)
• Share your name and preferences with other participants in your sessions

6.3 Content Responsibility

You are solely responsible for your content. We do not endorse, verify, or guarantee the accuracy of user-submitted content. We reserve the right to remove any content that violates these Terms or is otherwise objectionable.

7. Restaurant Information and Third-Party Services

Restaurant information is provided by third-party services (Google Places API, Yelp). We do not:

• Guarantee the accuracy, completeness, or currency of restaurant information
• Endorse or recommend specific restaurants
• Have any affiliation with restaurants shown in the Service
• Make reservations or bookings on your behalf
• Accept responsibility for your dining experiences

AI recommendations (Genius tier) are suggestions based on voting patterns and should not be considered professional dietary, health, or safety advice.

8. Intellectual Property Rights

8.1 Our Property

The Service, including its design, features, functionality, software, and all related intellectual property rights, are owned by Dinnduh™ and protected by copyright, trademark, and other laws. Dinnduh™ and the Dinnduh logo are trademarks of our company.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes, subject to these Terms. You may not:

• Copy, modify, or create derivative works based on the Service
• Use the Service for commercial purposes without permission
• Remove any copyright or proprietary notices
• Use our trademarks without written permission

9. SMS Communications and Consent

9.1 Transactional SMS

By creating an account and providing your phone number, you agree to receive transactional SMS messages from Dinnduh™ related to your use of the Service, including:

• Session invitations sent by other registered users
• Voting reminders when your group is waiting for your input
• Session result notifications
• Account verification codes

During sign-up, you will be presented with a checkbox to confirm your consent to receive these messages. You may opt out of transactional notifications at any time in your account settings, or by replying STOP to any message you receive from us.

9.2 Marketing SMS

We may send occasional promotional SMS messages (tips, offers, feature announcements) only if you have explicitly opted in to marketing communications during sign-up or in your account settings. Marketing messages are entirely optional and are separate from transactional notifications.

9.3 Opting Out

You may opt out of SMS communications at any time by:

• Replying STOP to any SMS from Dinnduh™
• Updating your notification preferences in your account settings
• Contacting us at support@dinnduh.com

After opting out, you will receive a confirmation message. Message and data rates may apply. Message frequency varies based on your activity on the Service.

9.4 Invitee SMS

When a registered user invites a non-registered contact to a dining session, that contact may receive a one-time SMS invitation containing a link to join the session. By using the Service to send invitations, you represent that you have a personal relationship with the recipient and their phone number was obtained through legitimate means.

10. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, available at /privacy. By using the Service, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

11. Disclaimers and Limitations of Liability

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Dinnduh™, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or conduct

13. Termination

12.1 By You

You may terminate your account at any time by contacting us at support@dinnduh.com or through your account settings.

12.2 By Us

We may suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Any other reason at our sole discretion

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and content, and you will not be entitled to any refund of fees already paid. Sections that by their nature should survive termination will survive, including intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.

14. Dispute Resolution

13.1 Informal Resolution

If you have a dispute with us, please contact us first at support@dinnduh.com to attempt to resolve the issue informally. We will work in good faith to resolve disputes amicably.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.

13.3 Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in courts of competent jurisdiction, and you consent to personal jurisdiction in such courts.

15. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dinnduh™ regarding the Service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

14.5 Updates to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
